Terms and conditions of sale
In these conditions “the seller” means Coldstream Coldrooms – Garden Offices Ltd. “the buyer” means the person or company placing the order and “goods” means the items specified in the Seller’s quotation and Order Acknowledgement.
All quotations, unless previously withdrawn, are open for acceptance within 30 days of tender date. Longer periods will only be valid if stated in writing by the Seller. The Seller’s quotation includes for only such goods, accessories and work as are specified therein; all such goods, accessories or work not specifically mentioned are excluded from the quotation. Where prices shown are exclusive of VAT, this will be charged at the relevant rate applicable at invoice date. The prices quoted are correct at the time of the tender, but the right is reserved to vary the price in accordance with material and manufactured item increases as applicable. Fixed prices will only be deemed to apply if specifically stated in writing and held for the period stated.
Acceptance of the Seller’s tender shall only constitute a contract once acknowledged by the Seller to the Buyer in writing. Orders must be accompanied by full instructions enabling manufacture to proceed. Insufficient information may cause delays for which the Seller will not accept responsibility. All contracts are between the Seller and the Buyer as principals and are not assignable without the consent of the Seller.
The Seller’s quotation, unless specifically stated, excludes any special packing of equipment or protection once delivered or installed on site. All reasonable care will be taken to ensure despatch and delivery in good condition. For goods supplied on a delivery-only basis, unloading and positioning at the delivery address will be the responsibility of the client.
For goods supplied on an install-on-site basis it shall be the responsibility of the Buyer to ensure that there is adequate access to the installation location. The Seller reserves the right to make additional charges if delays occur due to the site not being ready and available for an immediate start on the agreed installation date. All installations are assumed to be on a ground floor site unless otherwise agreed in writing by the Seller. It is the responsibility of the Buyer to ensure that the surface upon which the installation is to take place is firm and not subject to subsidence or movement.
All specifications, drawings and particulars of weights and dimensions submitted by the Seller are approximate only, and the descriptions and illustrations in the Seller’s catalogues, price lists and other advertisement matter are intended merely to present a general idea of the goods described therein, and none of these form part of the contract. After acceptance of the Seller’s quotation, a set of certified outline drawings will be supplied free of charge for approval of the Buyer. Manufacture of the goods shall not commence until the Buyer has approved these drawings.
The Seller shall endeavour to ensure that the agreed delivery dates are adhered to, however the Seller shall not be responsible for any delays or costs howsoever caused.
Cancellation by the Buyer may result in cancellation charges being made by the Seller. Cancellation charges will be dependent upon the time, materials and other work undertaken by the Seller up to the time of cancellation.
Equipment lost or damaged in transit will be repaired or replaced in accordance with the carrier’s insurance, provided the carriers are notified within the period detailed in their documentation. Advice notes must be signed “damaged” or “lost” as applicable. The Seller must be advised immediately of any lost or damaged items.
Terms of payment shall be as given in the Seller’s Order Acknowledgement or by other written agreement made by the Seller:
- If the purchase of the Seller’s goods is subject to a Personal Loan or a Lease agreement as arranged via the Seller, the terms and conditions of payment shall be the payment of an agreed deposit to the Seller with payment of the balance of all monies as determined in the documentation of the Finance Company providing the loan or lease.
- If the purchase of the Seller’s goods is subject to a Personal Loan or a Lease agreement as arranged by the Buyer, acceptance of payment via such a third party will only be accepted upon written agreement of the Seller. In such circumstances the Buyer shall remain responsible for the payment of the invoice value of the goods until such time as full payment has been received by the Seller.
